AGREEMENT BETWEEN USER AND PROLIST PLUS

The Prolist plus Message Boards contain various Web pages that are operated by Prolist Plus. These Message Boards are committed to providing opportunities for users to exchange ideas and information, and to facilitate dialogues and opinions. We also remind our users that the content appearing on the Prolist plus Message Boards does not necessarily reflect the views of Prolist plus, and Prolist plus is not responsible for the materials found on the these Message Boards, nor for any damages/losses, claims resulting from any misuse of this service. The users of Prolist plus message boards do so at their own risk. You are required to accept the terms, conditions, and notices prior to joining of the message boards. Using these Message Boards constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF TERMS AND CONDITIONS

Prolist plus has all the rights to change the terms, conditions, and notices under which the Prolist plus message boards are offered, including the charges associated with the use of the message boards. All users must review the terms and conditions periodically for any changes.

The Prolist plus message boards may contain links to other Web Sites. We remind our users that these Linked Sites are not under our control and we are not responsible for the contents of any Linked Site. Prolist plus is also not responsible for web casting or any other form of transmission received from any Linked Site. Prolist plus is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Prolist plus of that site or any association with its operators.

NO MISUSE OF MESSEGE BOARDS

As a condition of using the Prolist plus message boards, you guarantee to Prolist plus that you will not use the Prolist plus message boards for any unlawful or prohibited purpose that is mentioned in these terms, conditions, and notices. You also agree that you will not use these message boards in any manner which could damage, disable, overburden, or impair them or interfere with any other party's use and enjoyment of the Prolist plus message boards.

NO MISUSE OF COMMUNICATION SERVICES

The Prolist plus message boards may contain chat areas, bulletin board services, news groups, communities, forums, personal web pages, calendars or other communication facilities designed to enable you to communicate with the public at large or with a group. As a condition of your access to the Communication Services you guarantee that you will use the Communication Services only for legal and appropriate uses. Prolist plus reserves the right to suspend or deny you the access to all or part of the Communication Services without prior notice, if you engage in any conduct or activities that violates any of the terms and conditions set forth herein. 

You agree as a condition of using a Communication Service that you will not:

• Abuse, threaten or violate the legal rights of others such as their rights of privacy.
• Post or upload any content that is inappropriate, defamatory, profane, infringing, libelous, offensive, obscene, indecent, disrupting, or insulting in any way.
• Upload files that contain such material that is protected by rights of privacy of publicity or by the intellectual property laws unless you own or control these rights.
• Upload files that may contain viruses, corrupted files, or anything that may damage the operation of another's computer.
• Advertise or sell any goods or services, unless that Communication Service specifically allows such messages.
• Conduct surveys, contests or schemes.
• Download any file posted by another user that cannot be legally distributed in such manner.
• Delete or falsify any author attributions or any other material contained in a file that is uploaded.
• Restrict any other user from using the Communication Services.
• Violate any code of conduct which is applicable for any particular Communication Service.
• Collect information about others such as their e-mail addresses, without their permission.
• Violate any of the applicable laws.

Prolist plus has no obligation to monitor the Communication Services and does not represent the reliability of any information found in any Communication Service. However, Prolist plus reserves the right to review and remove any material posted to a Communication Service. Prolist plus reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. Prolist plus also reserves the right to disclose any information that is necessary to satisfy any applicable law, regulation, legal process or governmental request at any time.

LIABILITY DISCLAIMER

THE INFORMATION AND SERVICES INCLUDED IN THE PROLIST PLUS MESSAGE BOARDS MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. PROLIST PLUS MAY MAKE CHANGES IN THE MESSAGE BOARDS AT ANY TIME.

PRLOLIST PLUS DOES NOT REPRESENT THE RELIABILITY, AVAILABILITY, SUITABILITY, TIMELINESS OR ACCURACY OF THE INFORMATION AND SERVICES CONTAINED ON THE MESSAGE BOARDS FOR ANY PURPOSE. THESE SERVICES AND INFORMATION ARE PROVIDED 'AS IS' WITHOUT WARRANTY OR CONDITION OF ANY KIND. PROLIST HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION AND SERVICES INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

YOU AGREE THAT THE USE OF ANY COMMUNICATION SERVICE IS AT YOUR OWN RISK.  YOU ALSO ACCEPT THAT PROLIST PLUS IS NOT RESPONSIBLE FOR THE OFFENSIVE, DEFAMATORY OR ILLEGAL CONDUCT OF THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. 

INDEMNIFICATION

You hereby agree to defend and hold Prolist plus damages, expenses and costs including those of legal proceedings and attorneys' fees as a result of the use of any Prolist plus message boards by you and as a result of any violation of this agreement by you.

GENERAL

You agree that the disclosures and disclaimers set forth in this agreement are all reasonable. You also agree that your agreement with Prolist plus is not based on fraud. The Use of Prolist plus message boards is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions. The failure of Prolist plus to enforce any right or provision of this agreement shall not constitute a waiver of such right or provision. You agree that you are not involved in any kind of joint venture, partnership, employment, or agency relationship with Prolist plus as a result of this agreement or use of the Prolist plus message boards. This agreement is based on existing laws and legal process, and nothing contained in this agreement is in derogation of Prolist plus’ right to comply with governmental, court and law enforcement requests or requirements relating to your use of the message boards.  By using ProList plus for business or personal use you agree not to hold ProList plus accountable for anything.
